Currently our teams are working remotely, however once it is safe to do so this role will be based in the London office for some of the week.
My client is looking for a Legal Counsel to join its growing legal team and support its robust commercial transactions practice, product marketing and finance teams. The position reports to the Chief Legal Officer/General Counsel and has high visibility across the company's businesses and executive team. This position handles the majority of our commercial transactions (in the US and internationally) and is responsible for negotiating and drafting agreements across all areas of the business. In addition, this position is expected to consult on and interpret applicable domestic and international laws and regulations relating to the Groups privacy compliance program. This position is ideal for an experienced attorney who can independently manage the evolving commercial and product marketing needs of a fast-paced technology company with a growing product and services portfolio. You will handle a wide variety of complex legal work in support of our product, sales, business development and other teams within the company as needed.
Responsibilities:
- Draft and negotiate a wide variety of commercial transaction agreements (both in the US and internationally), including master services, licensing, professional services and publisher agreements
- Interfacing on a routine basis with senior business and product/engineering personnel
Manage outside counsel - Assist with all areas of compliance including data privacy
- Provide advice and support to business partners for new business initiatives and technology development
- Develop and implement processes to provide efficient and sophisticated service by the legal group
- Maintain and revise template agreements as required
- Identify contractual risks and suggest alternatives that lead to optimal solutions. Work cross-functionally with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences
Who You Are:
- Minimum of 5-10 years of experience in a progressive legal counsel capacity. Experience in both law firm and in-house counsel roles is preferred
- Requires extensive commercial transactions background and experience in technology transactions, specifically ad tech preferred.
- Must have excellent analytical, negotiation, communication and contract drafting skills and work well with several different stakeholders
- Organized with high attention to detail, ability to work in a fast-paced environment, approachable and able to work collaboratively and autonomously, ability to exercise sound legal and commercial judgment
- JD required from accredited law school
- Experience negotiating complex commercial agreements
- Experience working with online advertising companies (ad tech, media buying, or supply side) or other online services company is a plus but not required
